Terms of Service

These Terms of Service (“Terms”) govern your use of the RiccoTech Technologies website and all platforms, software, and services made available by RiccoTech Technologies (“RiccoTech”, “we”, “our”, or “us”). By accessing or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using any RiccoTech Technologies website, platform, or service, you confirm that you are at least 18 years of age, have read and understood these Terms, and agree to be bound by them. If you are using our services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Our Services

RiccoTech Technologies provides enterprise software development services, proprietary digital platforms, and technology consulting services. Our services include, but are not limited to:

• TCards — Digital identity and business networking platform
• MazuuFaida — Retail network intelligence and management system
• Enterprise Social Media Platforms — Custom community and engagement systems
• Trading Software Suite — Capital markets and financial technology systems
• Custom software development and technology consulting services

Specific terms applicable to individual platforms or services may supplement these Terms and will be made available separately.

3. Accounts and Access

Where our platforms require account registration:

• You are responsible for providing accurate and complete registration information
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized account access
• You may not transfer your account to another party without our written consent
• We reserve the right to suspend or terminate accounts that violate these Terms

4. Acceptable Use

You agree not to use our services to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit harmful, offensive, or fraudulent content
• Attempt to gain unauthorized access to our systems or data
• Interfere with or disrupt the integrity or performance of our services
• Use automated tools or scrapers without our prior written consent
• Reverse-engineer, decompile, or attempt to derive the source code of our software
• Use our services for illegal activities including fraud, money laundering, or cybercrime
• Resell, redistribute, or sublicense our services without authorization

5. Intellectual Property

All content, software, platforms, designs, trademarks, and materials provided by RiccoTech Technologies are the intellectual property of RiccoTech Technologies or our licensors. Nothing in these Terms transfers any intellectual property rights to you.

You are granted a limited, non-exclusive, non-transferable licence to use our services solely for the purposes outlined in your service agreement or these Terms. All other rights are reserved.

6. Client Data and Confidentiality

For enterprise clients engaging RiccoTech for custom development:

• Data, materials, and information you share with us for project purposes remains your property
• We handle all client data with strict confidentiality in accordance with our Privacy Policy
• Project-specific data protection and confidentiality obligations will be outlined in individual service agreements

7. Service Availability

We strive to maintain high availability of our platforms and services. However, we do not guarantee uninterrupted availability and are not liable for downtime resulting from:

• Scheduled maintenance (communicated in advance where possible)
• Events beyond our reasonable control (force majeure)
• Third-party service provider outages
• Cyberattacks or security incidents despite our reasonable precautions

8. Payment and Billing

For paid services:

• Fees and payment terms are specified in individual service agreements or platform subscription terms
• All fees are exclusive of applicable taxes unless stated otherwise
• We reserve the right to suspend access for overdue payments after reasonable notice
• Refund policies are outlined in individual service agreements

9. Disclaimer of Warranties

Our services are provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by applicable law.

10. Limitation of Liability

To the maximum extent permitted by law, RiccoTech Technologies shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use our services, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the three months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless RiccoTech Technologies, its directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your violation of these Terms or misuse of our services.

12. Governing Law and Disputes

These Terms are governed by the laws of the United Republic of Tanzania. Any disputes arising from these Terms or our services shall first be subject to good-faith negotiation. Where disputes cannot be resolved by negotiation, they shall be settled by binding arbitration in accordance with applicable rules, with proceedings conducted in English in Dar es Salaam, Tanzania.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by updating the “Last updated” date and, where appropriate, notifying users via email or in-platform notice. Continued use of our services after the effective date of changes constitutes acceptance of the revised Terms.

14. Termination

Either party may terminate access to our services with reasonable notice. We may immediately suspend or terminate access if you materially breach these Terms. Upon termination, your right to use our services ceases immediately. Provisions that by nature should survive termination will remain in effect.
